This clause ensures that both the Chinese weaver and the international retailer have mutual certainty regarding the financial consequences of supply chain delays. It is calculated as a fixed percentage of the shipment’s total invoice value per week of delay.
Mill Liability
Flax spinning and weaving mills must manage their production schedules tightly to avoid triggering these penalty clauses. When a mill accepts a liquidated damages warranty, any disruption in raw flax supply or machine breakdown directly impacts profitability. The mill must prioritize these high-risk contracts over more flexible orders to ensure on-time delivery.
Settlement Procedure
Deduction of the penalty occurs directly from the final letter of credit payment upon presentation of the delayed bill of lading. If the delay was caused by events outside the mill’s control, the force majeure clause must be invoked to suspend the accrual of penalties. The buyer holds the right to claim the pre-agreed damages without losing the right to receive the completed textile shipment.
This mechanism balances the commercial risks between the textile manufacturer and the overseas distributor.
